This material is quoted, and will be sold if ordered, subject to the mutual agreement that the following terms and conditions apply:

1. The prices and terms on our quotations are not subject to change either verbal or via purchase order unless approved in writing. Prices are based on cost and conditions existing on the date of the quotation and are subject to change before final acceptance. Typographical errors are subject to correction.
2. Payment terms are Net 30 unless otherwise agreed. Payments may also be made via Visa, MasterCard, or American Express. For international orders, payment is required in advance via wire transfer or credit card.
3. Taxes, duties, and fees are the responsibility of the buyer.
4. Packing and transportation risks are borne by the buyer.
5. Delivery schedules are approximate and subject to change due to uncontrollable circumstances.
6. Partial deliveries are allowed and payable upon receipt.
7. All items must be inspected by the buyer within 7 days of arrival. Claims must be submitted in writing.
8. A standard warranty against manufacturing defects applies. Replacements or refunds will be provided for confirmed defective items.
9. Orders may be terminated under certain conditions including insolvency or breach of terms.
10. Indemnification responsibilities are assumed by the buyer regarding patents and misuse of goods.
11. Tools, dies, or fixtures remain the property of the seller.
12. Modifications to these terms must be made in writing.
13. Confidentiality must be maintained for order content.
